Terms of service.

Welcome to The Luc Cochran Foundation ("TLCF," "we," "us," or "our"). By accessing or using any of TLCF's websites, platforms, programs, events, donation forms, volunteer activities, or services (collectively, "Services"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to every provision of these Terms, you must immediately stop using our Services.

Your agreement

By using TLCF's Services, you represent that you are at least 18 years old or have the legal capacity to enter into binding agreements. You agree to comply with all applicable local, state, and federal laws and regulations; respect TLCF's mission, values, and Code of Conduct; take full responsibility for any content you submit; and notify TLCF immediately of any unauthorized use of your account or personal information. TLCF reserves the right to refuse service, terminate access, or cancel transactions for any reason or no reason at all.

Release of liability and assumption of risk

TLCF is a nonprofit organization. Your participation in any TLCF program, event, activity, or service is entirely voluntary. You knowingly and voluntarily assume all risks associated with your participation, including risks of personal injury, illness, property damage, emotional distress, financial loss, or any other harm, whether caused by negligence of TLCF, its officers, directors, employees, agents, volunteers, contractors, partners, sponsors, or otherwise.

To the fullest extent permitted by law, you hereby release, waive, discharge, and covenant not to sue TLCF and its officers, directors, employees, agents, volunteers, contractors, affiliates, successors, and assigns from any and all liability, claims, demands, actions, or causes of action of any kind arising out of or relating to your use of the Services or participation in any TLCF activity. This release applies even if such liability results from the negligence of TLCF or any other released party, except to the extent prohibited by applicable law.

By accessing or using any TLCF Service, you acknowledge that you have read and understood this release and waiver, and you voluntarily agree to it as a condition of your use. TLCF maintains insurance coverage for certain organizational activities; however, the existence of insurance does not create any duty, warranty, or guarantee of coverage, payment, or recovery for any User, participant, donor, or third party.

No refunds and payment policy

All payments, donations, contributions, ticket purchases, event registrations, concession purchases, service fees, membership fees, program fees, and any other charges made through TLCF Services are final. TLCF has a strict no-refund policy. Under no circumstances will refunds, returns, credits, or chargebacks be issued, including but not limited to:

  • Donations and charitable contributions of any amount;
  • Event tickets, registrations, and admissions;
  • Concession, merchandise, or product sales;
  • Program, service, membership, or subscription fees;
  • Cancellation, no-show, or schedule change requests;
  • Technical errors, user error, or dissatisfaction with Services.

TLCF uses third-party payment processors, including Stripe, Donorbox, and other service providers, to process payments. By submitting a payment, you authorize TLCF and its designated payment processors to charge your selected payment method for the full amount. TLCF does not store complete credit card numbers or banking details; payment information is collected, processed, and secured directly by our third-party processors, subject to their respective terms and privacy policies.

Charges may appear on your statement as "The Luc Cochran Foundation," "TLCF," "LUCCARES," or similar descriptors. You agree not to initiate chargebacks, disputes, or reversals except in cases of actual unauthorized use of your payment method, and you agree to contact TLCF first at hi@luccares.org to resolve any billing questions. Any fees, penalties, or costs incurred by TLCF as a result of an unwarranted chargeback or dispute shall be your sole financial responsibility.

User responsibilities and prohibited conduct

You agree to provide accurate, current, and complete information when registering, donating, signing up for events, or otherwise interacting with our Services. You may not use our Services for any unlawful purpose, including fraud, misrepresentation, harassment, discrimination, intellectual property infringement, or the distribution of harmful, obscene, threatening, defamatory, or hateful content. You may not attempt to disrupt, damage, or gain unauthorized access to our systems, data, or networks.

TLCF reserves the right, in its sole discretion, to suspend or terminate your access, remove content, cancel registrations or transactions, and report unlawful conduct to appropriate authorities.

Program participants and families

These Terms apply in full to anyone enrolled in or receiving services from a TLCF program, including Scholars Tutoring, Digital Foundations, Resume Workshop, Nourish Network, and Connect Mobile ("Participants"), and to the parent or legal guardian of any Participant under 18. Enrollment is subject to eligibility criteria, available capacity, and, where applicable, documentation reasonably requested by TLCF. TLCF may prioritize, waitlist, or decline enrollment based on program capacity, service area, and funding.

By enrolling, you agree that the information you provide is accurate and that you will notify TLCF of changes to contact details, emergency contacts, medical or allergy information, or guardianship status. A parent or legal guardian must sign for any Participant under 18, and that signature constitutes consent to participation, emergency medical treatment when a guardian cannot be reached, and the releases described in these Terms.

Attendance, conduct, and dismissal

Participants and accompanying family members are expected to arrive on time, attend consistently, treat staff, volunteers, and other participants with respect, and follow site rules and the TLCF Code of Conduct. Repeated absences or no-shows may result in a seat being released to another family. TLCF may suspend, reassign, or dismiss a Participant for conduct that is unsafe, harassing, discriminatory, violent, threatening, dishonest, or disruptive to program delivery, or for misuse of TLCF property.

Except in cases involving immediate safety concerns, TLCF will make reasonable efforts to communicate concerns before dismissal. A Participant or guardian may appeal a dismissal or file a grievance in writing to hi@luccares.org within 30 days; TLCF will acknowledge the appeal and provide a written response. TLCF does not discriminate on the basis of race, color, national origin, religion, sex, sexual orientation, gender identity, age, disability, veteran status, or any other status protected by law, and will provide reasonable accommodations on request.

Equipment, devices, and program materials

Devices, hotspots, tools, learning materials, and other property loaned through TLCF programs remain the property of TLCF unless a written agreement expressly transfers ownership. Loaned property must be used for lawful, program-related purposes, kept in reasonable condition, and returned on request or at the end of the program term. You are responsible for loss, theft, or damage resulting from misuse or neglect, and TLCF may decline future loans where property is not returned. TLCF provides all equipment and materials "as is" with no warranty of any kind.

Food, distribution, and transportation

Food, groceries, and household essentials distributed through Nourish Network and similar efforts are provided as-is and may be donated, prepared, or packaged by third parties. TLCF does not manufacture or inspect donated food and makes no representation regarding allergens, ingredients, freshness, or fitness for any particular dietary need; you are solely responsible for reviewing labels and determining suitability. Participation in any offsite activity, field trip, or transportation arranged or coordinated by TLCF is voluntary and covered by the release of liability and assumption of risk stated above.

Photography, video, and media release

TLCF may photograph, film, or record programs, events, and distributions. By participating, you grant TLCF an irrevocable, royalty-free, worldwide license to use your name, likeness, image, voice, statements, and program-related work product in materials such as the website, social media, newsletters, reports, grant applications, press, and fundraising content, without compensation or further approval. Participants, guardians, partners, and volunteers may opt out of media use, or request removal from future materials, by writing to hi@luccares.org. TLCF cannot recall materials already printed, distributed, or shared by third parties.

Partners, sponsors, and referral organizations

Organizations that partner, sponsor, refer clients, host sites, donate in kind, or organize corporate service days ("Partners") agree to these Terms in addition to any signed memorandum of understanding, sponsorship agreement, or data-sharing agreement. Where a signed written agreement conflicts with these Terms, the signed agreement controls for that engagement.

Partners agree to: represent TLCF accurately and never imply endorsement, affiliation, or joint venture beyond the agreed scope; obtain TLCF's prior written approval before using the TLCF name, logo, marks, or program names in advertising, press, or fundraising; comply with applicable law, including background-check, child-protection, food-safety, and privacy requirements at their own sites; carry insurance appropriate to the activity; and share participant information only as permitted by law and by a written data-sharing or referral agreement. TLCF may decline or end any partnership at its discretion, and either party may terminate an engagement on written notice.

TLCF accepts in-kind and corporate contributions at its discretion and may decline gifts that are unsafe, unusable, restricted in ways inconsistent with our mission, or that create undue cost or legal risk. TLCF issues acknowledgment letters for accepted contributions but does not appraise or assign value to in-kind gifts; donors are responsible for their own valuation and tax reporting. Sponsorship does not confer control over programming, staffing, participant selection, or TLCF's governance decisions.

Privacy, payments, and donations

TLCF is committed to protecting your privacy. By using our Services, you consent to the collection, storage, and processing of your personal information in accordance with our Privacy Policy. Donations are tax-deductible to the extent permitted by law; you are responsible for retaining receipts and consulting your tax advisor. TLCF makes no representation or guarantee regarding the tax treatment of any donation.

Third-party services and links

Our Services may include links, integrations, or embeds for third-party websites, payment processors, calendars, social media platforms, and service providers. TLCF is not responsible for the content, policies, practices, availability, or security of any third-party service. Your use of third-party services is subject to their terms and policies, and you assume all risks associated with such use.

Suspension and termination

TLCF may suspend or terminate your access to all or part of the Services, with or without notice, for any violation of these Terms, conduct harmful to TLCF or others, fraudulent or unlawful activity, or any other reason in TLCF's sole discretion. Upon termination, all provisions that by their nature should survive termination shall survive, including liability releases, indemnity, dispute resolution, and intellectual property provisions.

Dispute resolution and arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved exclusively through binding arbitration administered by a mutually agreed-upon arbitration service, conducted in the state of Georgia, USA. You agree to arbitrate disputes individually and waive any right to participate in class actions, collective proceedings, private attorney general actions, or representative proceedings. You further waive your right to a jury trial. Punitive damages and collective relief are not permitted. Users are solely responsible for all arbitration costs unless otherwise required by law.

Indemnity and limitation of liability

You agree to indemnify, defend, and hold harmless TLCF and its officers, directors, employees, agents, volunteers, contractors, affiliates, successors, and assigns from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your breach of these Terms, your violation of any law or the rights of any third party, or your participation in any TLCF activity.

To the fullest extent permitted by law, TLCF's total liability to you for any claim arising out of or relating to these Terms or the Services is limited to the lesser of (a) the amount you paid to TLCF for the specific transaction or service giving rise to the claim, or (b) one hundred United States dollars (US $100), regardless of the theory of liability. TLCF shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost data, or reputational harm, even if advised of the possibility of such damages.

Intellectual property

All content on TLCF's websites and platforms—including text, graphics, logos, images, videos, software, and design—is the property of TLCF or its licensors and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use content for personal, non-commercial purposes. Any other use requires prior written permission from TLCF.

No warranties

TLCF provides all Services on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, or availability. TLCF does not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or harmful components.

Changes and governing law

TLCF may modify or update these Terms at any time without prior notice. Changes are effective immediately upon posting to our website with the updated date. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms. You are responsible for reviewing these Terms regularly. These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict of law principles.
