Accountability is part of our mission.

The Luc Cochran Foundation is governed by a Board of Directors responsible for overseeing the organization and protecting its charitable mission. The Board provides governance and organizational oversight while TLCF's officers, leadership, staff, and volunteers carry out the Foundation's day-to-day operations and programs.

This structure helps maintain appropriate separation between organizational governance and daily management while establishing accountability throughout the organization.

Board responsibilities include oversight of:

• Organizational mission and strategic direction
• Executive leadership
• Governance policies and procedures
• Legal and regulatory compliance
• Organizational risk
• Conflicts of interest
• Program effectiveness and community impact
• Organizational integrity
• Long-term planning and sustainability
• Protection of TLCF's charitable purpose and reputation

Directors are expected to exercise appropriate care, act in good faith, and make decisions they reasonably believe to be in the best interests of the Foundation.

TLCF is committed to conducting its activities ethically, responsibly, and in furtherance of its charitable mission. Our governance practices are intended to encourage accountability, identify potential conflicts, protect the organization, and establish clear expectations for those entrusted with leadership responsibilities.

The Luc Cochran Foundation is organized as a nonprofit corporation and recognized by the Internal Revenue Service as a tax-exempt public charity under Section 501(c)(3) of the Internal Revenue Code. TLCF seeks to maintain compliance with applicable federal, state, and local requirements governing its activities.

• Complying with charitable solicitation requirements

Compliance responsibilities are reviewed as organizational activities and legal requirements evolve.

The Board of Directors meets as necessary to carry out its governance responsibilities. Significant organizational matters may be considered through Board meetings, resolutions, written actions, or other procedures authorized by TLCF's governing documents and applicable law.

Appropriate records of Board actions are maintained as part of the Foundation's corporate records. Certain Board materials may contain confidential information and are not necessarily public records.

The Luc Cochran Foundation recognizes that operating as a charitable organization carries a responsibility to the public. We seek to maintain accountability through responsible governance, appropriate recordkeeping, transparent communication, organizational policies, regulatory compliance, and oversight by the Board of Directors.

Transparency does not mean that every organizational record can or should be publicly disclosed. TLCF may appropriately protect information involving:

• Program participant privacy
• Donor privacy
• Employee and volunteer personnel information
• Confidential communications
• Security information
• Personally identifiable information
• Legally privileged information
• Internal investigations
• Proprietary systems or information
• Other information protected by law or policy
